Short answer

More than 9 Bcfe a day: that is what EQT and Range Resources would produce together under the all-stock merger announced on October 26, 2026, roughly 7-8% of the dry gas the US is forecast to produce in 2026. The combined company, with over $50 billion of enterprise value, would also own more than 3,700 miles of pipeline. Closing is targeted for the first quarter of 2027.

  • What happened EQT agreed to buy Range Resources in an all-stock deal at 0.987 EQT shares per Range share, announced October 26, 2026, with a combined enterprise value over $50 billion.
  • Why it matters Combined net production above 9 Bcfe/d is roughly 7-8% of US dry gas output on EIA's 2026 forecast, plus more than 3,700 miles of pipeline in a basin EIA says is pipeline-constrained.
  • What is priced Range closed at $53.56 on October 26, up nearly 18%; EQT closed at $54.85, down 1.40%, which implies about $54.14 per Range share at the exchange ratio.
  • What to watch Both companies report Q3 results after the close on October 27; antitrust clearance under the HSR Act and two shareholder votes stand between signing and a targeted Q1 2027 close.

What was announced on October 26, 2026?

EQT and Range Resources signed a definitive all-stock merger agreement, dated October 25 and announced on October 26, 2026, according to the joint news release and both companies' SEC filings. Each Range share would be exchanged for 0.987 EQT shares. After closing, existing EQT shareholders are expected to own approximately 73% of the combined company and Range shareholders approximately 27%.

Two numbers get mixed up in the coverage, so keep them apart. The $50 billion figure is the pro forma enterprise value of the combined company, which includes debt. What is being paid for Range's equity is smaller: Reuters calculated the exchange ratio at about $12.83 billion, or $54.91 per share, a 20.6% premium to Range's close on Friday, October 23. Breakingviews, Reuters' opinion desk, rounded the premium to 21% and the value to nearly $13 billion.

Because the deal is all stock, that implied value moves with EQT's share price; by the October 26 close it had already slipped to about $54.14 per Range share (see the market reaction below).

How much of America's gas would one company control?

The joint release says the combined company would have more than 9 Bcfe/d of net production, nearly 3 million net acres, more than 30 years of drilling inventory and more than 3,700 miles of midstream infrastructure.

Set that against the whole country. The US Energy Information Administration's October 2026 Short-Term Energy Outlook forecasts US dry natural gas production of 107.64 Bcf/d in 2025, 112.20 Bcf/d in 2026 and 116.13 Bcf/d in 2027. On our arithmetic, 9 Bcfe/d is roughly 8% of the 2026 figure and roughly 8.4% of the 2025 figure.

One caveat, and it is a real one. 'Bcfe' means billion cubic feet equivalent, which folds natural gas liquids and oil into a gas-equivalent number. Motley Fool reports that about 88% of the combined production is natural gas, which would put gas-only output near 7.9 Bcf/d, or about 7% of EIA's 2026 dry gas forecast. So the honest range is 7-8% of US dry gas from a single producer.

Within its home basin the weight is heavier still. EIA says Appalachia, meaning the Marcellus and Utica formations across Pennsylvania, West Virginia and Ohio, has accounted for around 32% of Lower 48 gas production annually since 2016. The companies call the result 'America's largest and only vertically integrated natural gas producer'. That is their framing and the press has repeated it; we found no EIA or regulator ranking of producers to confirm the 'largest' label independently.

  • Combined net production: more than 9 Bcfe/d (companies' figure)
  • US dry gas output, 2026 forecast: 112.20 Bcf/d (EIA, Oct 6 2026)
  • Share of US output: roughly 8% on a Bcfe basis, roughly 7% on a gas-only basis
  • Appalachia's share of Lower 48 output: around 32% since 2016 (EIA)

What does 'vertically integrated' mean here?

In plain terms it means the company that drills the wells also owns the pipes that carry the gas out. The 3,700 miles in the release is the clearest expression of that, and it was built in two steps.

Step one came in 2024. On March 11, 2024, EQT agreed to buy Equitrans Midstream in an all-stock deal at 0.3504 EQT shares per Equitrans share, an enterprise value over $35 billion, adding more than 2,000 miles of pipeline. That deal closed on July 22, 2024, and EQT described the result as 'America's only large-scale, vertically integrated natural gas business' with more than $425 million of identified annual synergies. Equitrans also built the Mountain Valley Pipeline, which began operations in June 2024 and which EQT now owns.

Step two is this deal, which adds Range's acreage and production on the upstream side and takes the combined midstream network past 3,700 miles.

Why does the pipe matter so much? EIA expects Appalachian output to grow only 0.3 Bcf/d in 2026 because of pipeline takeaway limits. The release also cites cumulative free cash flow of around $20 billion over five years and a breakeven below $2 per MMBtu for the combined business; those are the companies' projections, not independent figures.

Why do analysts keep saying AI when the companies do not?

Read the joint release and Range's letter to employees and you will not find the words 'data center' or 'AI'. LNG appears only in a line about natural gas, LNG and NGL marketing. That absence is notable because almost every outside commentary frames the deal around power demand from computing.

Fortune reported that analysts at William Blair, Pickering Energy Partners and Enverus praised the deal and tied it to power and data-center demand. Reuters Breakingviews argued that 'data centers are spurring local demand, auguring higher production and, perhaps, prices'. Separately, Reuters reported that EQT now expects potential Appalachian gas demand of 25 bcfd, up from a previous 20 bcfd estimate, with US consumption growth driven by LNG exports and AI data-center power demand. All of that is analyst and outlet framing, not what the companies wrote on October 26.

The companies' own on-record statement is older. In its Q2 2026 results on July 21, 2026, EQT said that 'as power generators and data center developers increasingly look to secure reliable, long-term energy supply, EQT has become the partner of choice in Appalachia'. It also disclosed a 10-year deal to supply 325,000 Dth/d to CPV's Shay Energy Center in West Virginia at PJM-linked pricing. CPV describes Shay as a 2,100 MW gas plant in Doddridge County. EQT will supply its full burn, over 100 Bcf a year, for 10 years from commercial operation.

So the chain of reasoning runs like this. Appalachia has the gas but cannot easily ship it out. New gas-fired power plants in the region would consume it in place. A producer that owns both the wells and the pipes is positioned to sell to those plants. That is a coherent story, and EQT's own Q2 language supports part of it.

But the merger documents themselves make a narrower case about scale, inventory, synergies and free cash flow. EIA's export numbers, for what it is worth, show LNG exports of 17.6 Bcf/d in 2026 and 18.6 Bcf/d in 2027, so the export route is growing too.

How did the market react on October 26?

Range Resources closed at $53.56 on October 26, up nearly 18%. EQT closed at $54.85, down 1.40%, according to StockAnalysis. Earlier in the session Reuters had EQT down 3.7% and Range up 15.1% at $52.43, so EQT recovered some ground by the close.

The two closes tell you how the arithmetic of an all-stock deal works. At 0.987 EQT shares per Range share and an EQT close of $54.85, the implied value is about $54.14 per Range share. Range's close of $53.56 sits a little below that, a gap of a fraction of a dollar per share on October 26 closes.

A gap like that usually reflects the time to closing and the risk the deal does not close, though on a single day it can also be noise. If the deal breaks, Range would no longer be tied to 0.987 EQT shares and the 20.6% premium disappears. The $54.91 headline value was computed on Friday's prices and has already moved. These are closing prices on one day, not forecasts.

What to watch next, and what is not confirmed

The nearest dates are October 27 and 28. EQT will release its Q3 2026 results after the US market close on October 27, with a call at 10:00 a.m. ET on October 28. Range will release its Q3 results after the NYSE close on October 27, with a call at 9:00 a.m. ET on October 28. Production, guidance and hedging figures published in those releases may change parts of the picture above.

Then comes antitrust. Closing requires expiry or termination of the Hart-Scott-Rodino waiting period. Under the HSR Act, the parties must wait 30 days after a complete filing before closing, and a Second Request extends the waiting period until substantial compliance.

The merger agreement says the parties must use reasonable best efforts to obtain clearance, including divestitures and other remedies, subject to limitations whose cap is not disclosed in the 8-K summary. No HSR filing date and no FTC or Justice Department action has been published, so it would be wrong to say a review is under way. The outside date is October 25, 2027, extendable to April 25, 2028 if only regulatory conditions remain.

The break fees give a sense of who carries the risk. Range would pay EQT $423 million in specified termination scenarios; EQT would pay Range $1,148 million, roughly 2.7 times as much. Both shareholder bases must also vote: a majority of Range's outstanding voting power, and a majority of votes cast by EQT shareholders on the share issuance.

We have not reviewed the full merger agreement, so the cap on required divestitures is unknown, and we have not verified the analyst quotes carried by Fortune or the share figure attributed to Bloomberg.

FAQ

How much is EQT paying for Range Resources?

It is an all-stock deal at 0.987 EQT shares per Range share. Reuters calculated that at about $12.83 billion, or $54.91 per share, a 20.6% premium to Range's October 23 close. The $50 billion figure is the combined company's enterprise value including debt.

When will the EQT-Range merger close?

The companies target the first quarter of 2027, subject to antitrust clearance under the HSR Act, approval by both sets of shareholders and other conditions. The agreement's outside date is October 25, 2027, extendable to April 25, 2028.

How much US gas would the combined company produce?

More than 9 Bcfe/d of net production, per the joint release. Against EIA's 2026 dry gas forecast of 112.20 Bcf/d that is roughly 8%, or about 7% on a gas-only basis since Bcfe includes liquids.

Did EQT and Range say the deal is about AI data centers?

No. The joint release and Range's employee letter do not mention data centers or AI. That framing comes from analysts, Fortune and Reuters. EQT's Q2 2026 results did cite power and data-center developers and a 10-year supply deal with CPV's 2,100 MW Shay plant.

What happens to Range shareholders?

Each Range share converts into 0.987 EQT shares, and Range holders would own approximately 27% of the combined company. A majority of Range's outstanding voting power must approve the deal.
